Authorized Stock
The maximum amount of shares a company is allowed to issue that can only be changed by a vote of shareholders.
If a secondary issuance(an issuance of stock after a company’s IPO) is authorized, then a stock’s price may fall sharply as the market expects dilution and original financing goals may not be met.
